Welcome to PerspireIP. By engaging our services, you agree to comply with and be bound by the following terms and conditions. Please review them carefully. If you do not agree to these terms, you should not use our services.

1. Services Overview

PerspireIP provides intellectual property services including but not limited to patent invalidation, infringement analysis, portfolio analysis, IP monetization, trademark search, patent drawing, and market research services.

All services are provided on a professional basis and are subject to the terms outlined in this agreement and any specific service agreements entered into between PerspireIP and the client.

2. Payment Terms

2.1 Payment Obligation

Clients agree to pay all fees for services rendered by PerspireIP. Payment terms will be specified in individual service agreements or invoices. By engaging our services, you acknowledge your obligation to pay for all work performed.

2.2 Post-Paid Projects

For certain projects, particularly custom research and analysis work, PerspireIP may provide services on a post-paid basis where invoicing occurs after service delivery. Clients remain liable to pay all invoices within the specified payment terms (typically 15-30 days from invoice date).

2.3 Payment Methods

We accept payments via PayPal, bank transfer, and other methods as specified in your invoice. All payment processing fees, if any, are the responsibility of the client unless otherwise agreed.

2.4 Late Payments

Late payments may incur interest charges at a rate of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower. PerspireIP reserves the right to suspend services for accounts with overdue payments.

3. Refund Policy

NO REFUNDS POLICY. All sales are final. Once services have commenced or been delivered, no refunds will be issued under any circumstances. This includes but is not limited to situations where:

• The client changes their mind about the service
• The client is dissatisfied with results (subject to quality standards)
• The client finds alternative solutions
• Project timelines change due to client-side delays
• Data availability issues prevent complete project delivery (see Section 4)

By engaging our services and making payment, you acknowledge and accept this no-refund policy.

4. Service Delivery and Data Availability

4.1 Dependency on Third-Party Data

Many of our services, including patent research, market analysis, and trademark searches, rely on data from third-party databases, patent offices, government agencies, and other external sources. Service delivery is subject to the availability, accuracy, and accessibility of such data sources.

4.2 Delivery Timelines

Estimated delivery timelines are provided in good faith based on typical data availability and processing times. However, actual delivery may be delayed due to:

• Database outages or maintenance
• Unavailability of required data from official sources
• Changes in data access policies by third parties
• Volume or complexity exceeding initial estimates
• Force majeure events

4.3 Scope Limitations

If required data is unavailable or inaccessible through standard channels, PerspireIP will make reasonable efforts to obtain alternative data or provide partial deliverables based on available information. In such cases, the service fee remains payable as the work has been performed to the extent possible given data constraints.

4.4 No Guarantee of Specific Results

While we strive for accuracy and completeness, PerspireIP does not guarantee specific outcomes, findings, or results from our research and analysis services. The value of our services lies in the professional analysis and research methodology, not in any particular outcome.

5. Project Timelines and Deliverables

Estimated delivery times provided for services are approximate and based on standard conditions. Actual delivery may vary based on project complexity, data availability, and client responsiveness to information requests.

Clients are responsible for providing timely responses to queries and requests for information. Delays in client responses may extend project timelines accordingly.

6. Confidentiality

PerspireIP treats all client information as confidential and will not disclose client data to third parties except as required by law or with explicit client consent. We maintain strict confidentiality protocols in accordance with professional standards.

7. Intellectual Property

All reports, analyses, and deliverables created by PerspireIP remain our intellectual property until full payment is received. Upon full payment, clients receive a license to use the deliverables for their internal business purposes.

Clients may not resell, redistribute, or repurpose PerspireIP deliverables for commercial gain without explicit written permission.

8. Limitation of Liability

PerspireIP's liability for any claims arising from our services is limited to the amount paid by the client for the specific service in question. We are not liable for any indirect, incidental, consequential, or punitive damages.

Our services provide information and analysis for business decision-making purposes. Clients are responsible for their own business decisions and actions based on our deliverables.

9. Modifications to Terms

PerspireIP reserves the right to modify these terms at any time. Modifications will be effective immediately upon posting to our website. Continued use of our services after modifications constitutes acceptance of the updated terms.

10. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction where PerspireIP is registered, without regard to conflict of law provisions.
