The Freedom-to-Operate Analysis Process

Step 1: Define the Product or Process

The FTO analysis begins with a detailed technical description of the specific product or process you plan to commercialize. The more specific and detailed this description, the more targeted and reliable the FTO analysis will be. When the freedom-to-operate analysis identifies high-risk patents, several strategies can mitigate the risk: designing around the patent by modifying the product to avoid at least one element of each problematic claim, licensing the patent through negotiation with the patent owner, challenging the patent through inter partes review or ex parte reexamination, waiting for the patent to expire (if the remaining term is short), or accepting the risk as manageable based on the patent owner’s likelihood of enforcement.

Why a Freedom-to-Operate Analysis Changes Your Damages Exposure

The commercial case for a freedom-to-operate analysis is usually framed as avoiding an injunction. The sharper reason is money. Under 35 U.S.C. 284 a court may increase damages up to three times the amount found, and enhancement turns on culpability rather than on the strength of the infringement case.

The Supreme Court reset that standard in Halo Electronics v. Pulse Electronics (2016), discarding the rigid two-part test that had previously governed and leaving enhancement to the district court’s discretion, reserved for egregious conduct — the behaviour the Court described as wilful, wanton or in bad faith. What that means in practice is that a defendant’s state of mind at the time of the accused conduct became central again.

A documented freedom-to-operate analysis, completed before launch, is the most direct evidence that the decision to proceed was a considered one. It does not guarantee a finding of no wilfulness, and it is not a shield against liability. It is evidence of good faith, and it is worth far more when it is contemporaneous than when it is reconstructed after a complaint arrives.

One statutory caveat cuts the other way and is frequently misremembered. 35 U.S.C. 298 provides that the failure of an infringer to obtain the advice of counsel, or to present such advice to the court, may not be used to prove wilful infringement or inducement. You are not penalised for not getting an opinion. But if you do obtain one and then rely on it as a defence, you place your state of mind in issue and can waive attorney-client privilege over related advice — which is a decision to take with litigation counsel, not casually.

What a Freedom-to-Operate Analysis Must Check Beyond the Claims

Claim mapping is the visible part of the work, but a freedom-to-operate analysis that stops there will miss the ways a patent either falls away or catches you later. Each of the following is a routine source of a changed answer:

  • Legal status and term — a US patent runs twenty years from its earliest non-provisional filing date, adjusted by any patent term adjustment or extension. A patent that looks blocking may already have expired
  • Maintenance fee lapse — US maintenance fees fall due at 3.5, 7.5 and 11.5 years, and a large share of patents lapse for non-payment. Lapsed patents are not enforceable for the lapse period, subject to the reinstatement rules
  • Geographic scope — patents are territorial. A blocking US claim says nothing about your European or Asian launch, and a family rarely has identical claims in every jurisdiction
  • Pending applications — the most under-weighted risk. A pending continuation can be amended to read on your product after you have designed around the issued claims, so live families matter more than dead ones
  • Ownership and licences — assignments, security interests and existing licences may mean the patent is not enforceable by the party you expect, or that you already hold rights through a supplier
  • Post-grant history — reexamination, reissue and inter partes review can narrow claims, and statements made during those proceedings create prosecution history estoppel you can use

Claim construction discipline matters throughout. Claims are read in light of the specification and the prosecution history, and every limitation must be present, literally or under the doctrine of equivalents, for direct infringement to be found. A single limitation genuinely absent from your product defeats that claim — which is why the most useful output of a freedom-to-operate analysis is often a precise statement of which limitation you avoid and why.

Where a design-around is the answer, document the design decision alongside the analysis. The engineering record showing that a feature was deliberately changed to avoid a claim is persuasive in a way that a legal memo alone is not.

When to Refresh a Freedom-to-Operate Analysis

A freedom-to-operate analysis is a snapshot, and it starts ageing immediately. Applications publish eighteen months after their earliest priority date, which means that on any given day there is unpublished subject matter that no search can reach. A clearance completed today cannot see an application filed eight months ago.

That is an argument for scheduled refreshes rather than for despair. Sensible trigger points are:

  1. Before design freeze, when changing the product is still cheap
  2. Before commercial launch, to capture anything that published since the first pass
  3. Before entering a new territory, because the analysis is jurisdiction-specific
  4. On any material design change, since the claim mapping was done against the old configuration
  5. Before a financing or acquisition, where diligence will ask for it and a stale report reads badly
  6. On notice of a competitor’s new filing in the same space
